TC-LHIN supports integration proposal – organizations announce future Board and interim CEO

On behalf of the Board of Directors of Providence Healthcare, St. Joseph’s Health Centre and St. Michael’s Hospital, we are pleased to announce that the Toronto Central Local Health Integration Network (TC-LHIN) Board has passed a motion that enables our integration to proceed. This is another important milestone in our efforts to build a new health network as this endorsement initiates the formal approval process with the Ministry of Health and Long-Term Care.

An inaugural board of directors for the new network has also been chosen. The elected directors were recommended by a Joint Nominations Committee made up of a departing director from each of the three organizations, together with a representative of Catholic Health Sponsors of Ontario (CHSO) and supported by a third-party recruitment firm. The inaugural board was also endorsed by CHSO and each of the three legacy boards of directors.

Elected board members volunteer their time to provide leadership and strategic vision while adhering to their fiduciary responsibilities as directors of a public institution. The three organizations are pleased to announce the following 16 elected members who will serve on the new board:

Two additional external directors will be recruited to ensure a comprehensive skills mix on the board is achieved. A process is already underway to select the inaugural board Chair. Non-elected directors will also sit on the board as ex-officio members including David Mulroney as a representative of the Archdiocese of Toronto and Dr. Trevor Young from the University of Toronto. Others will be named at a future date.

The new board will formally replace the current three boards of directors once approval of the integration proposal is received from the Ministry of Health and Long-Term Care, the three boards of directors, as well as CHSO and the Sisters of St. Joseph of Toronto, as expected. Until then, the current boards of directors will continue to oversee each of the hospitals, and current reporting structures and governance processes remain in place.

The inaugural board supports the appointment of Dr. Robert Howard, president and CEO of St. Michael’s Hospital, as the interim CEO of the new network. His appointment is expected to be confirmed by the board of directors and would begin once the establishment of the new network has obtained the remaining approvals. The appointment is temporary to allow the new board to launch a search process for a permanent CEO, a position which Dr. Howard will not be seeking. Dr. Howard will work with all three organizations through this transition.

Over the coming weeks, our organizations are also completing due diligence work to look at any legal or financial issues that need to be considered prior to the integration. We also continue to complete work related to governance, human resources planning and structuring the Medical Staff Association and Medical Advisory Committee. Finally, a joint meeting of the three Boards, CHSO and the Sisters of St. Joseph of Toronto is planned for June 28th to consider the final integration proposal, with an effective date for the new network expected to be August 1st.
